TERMS OF USE OF THE SITE FOR SPECIALISTS (CANDIDATES)
These Terms of Use of the Site (hereinafter referred to as the "Terms") are a legally binding agreement between you (individual or FOP, hereinafter referred to as the "Specialist" or "Candidate") and the owner of the website https://mexus.pro/ Name, EDRPOU code ___________, registered at the address: _____________________ (hereinafter referred to as "mexus.pro").
Acceptance (acceptance) of these Terms is the fact of registration of the Specialist on the https://mexus.pro/ website (hereinafter - the "Site"), creation of a profile/summary or use of any functionality of the Site. If you do not agree to these Terms, please stop using the Site.
1. SUBJECT AND STATUS OF THE PLATFORM
1.1. MEXUS.PRO provides the Specialist with free access to the technical functionality of the Site to create a profile (summary), view vacancies/needs of employers (hereinafter referred to as "Companies") and independently send his application/submission of candidacy for them.
1.2. MEXUS.PRO is an information technology platform (marketplace) and DOES NOT ACT as an employer, recruitment agency or recruiter of a Specialist (unless otherwise expressly provided by a separate written outstaffing contract).
2. REGISTRATION AND PROFILE REQUIREMENTS
2.1. To gain access to the functionality of the Site, the Specialist fills out the registration form, creating his own Account.
2.2. The specialist undertakes to provide exceptionally reliable, up-to-date and accurate information about his person, education, work experience, professional skills and language skills.
2.3. A specialist is prohibited:
• to create duplicate accounts or use other people's personal data;
• to post knowingly false information or other people's works in the profile (plagiarism in the portfolio);
• to publish material that violates the law, contains calls for violence, hate speech or offensive content;
• to use the Site to send spam, advertise your own services that are not related to sending your application/filing for vacancies, or offers of a dubious nature.
3. PROCEDURE FOR INTERACTION WITH COMPANIES
3.1. The specialist independently selects vacancies/needs published by the Companies on the Site and sends his applications /submits a candidacy.
3.2. By sending his application /submitting a candidacy for a vacancy, the Specialist consents to the transfer of information from his profile/summary to the relevant Company.
3.3. After the Company opens contact data and pays the appropriate Platform commission, the Specialist and the Company have the right to freely agree on the terms of direct cooperation.
3.4. The specialist understands and agrees that after the completion of cooperation, the Company has the right to leave a review and assessment (rating) in his profile regarding the quality and terms of work. MEXUS.PRO does not moderate the subjective assessment of the Companies, but reserves the right to remove reviews that contain obscene language, insults or known unreliable facts.
4. COOPERATION MODELS (EMPLOYMENT AND OUTSTAFFING)
4.1. Model "Direct employment" - in the case of concluding an employment or civil law contract directly between the Company and the Specialist, MEXUS.PRO is not a party to such a contract and is not responsible for the fulfillment by the Parties of their obligations (payment of wages, working conditions, etc.).
4.2. "Outstaffing" model - if the Company engages a Specialist through the MEXUS.PRO outstaffing model, the relationship between MEXUS.PRO and the Specialist (FOP or an individual) is formalized in a separate written service agreement (Subcontractor Agreement).
4.3. In direct employment, issues of transfer of rights to work results are regulated directly between the Specialist and the Company. With the "Outstaffing" model, the Specialist undertakes to transfer all intellectual property rights to the created objects to the benefit of MEXUS.PRO (or directly to the Company) under the terms of a separate B2B contract.
5. TAX DISCLAIMER
5.1. MEXUS.PRO is not a tax agent of the Specialist (except for cases expressly provided for by the norms of current legislation).
5.2. The specialist independently bears full responsibility for declaring his income received from cooperation with Companies or MEXUS.PRO, and for timely payment of all due taxes and fees in accordance with the legislation of the country of his tax residence (except for cases expressly provided for by the norms of current legislation).
6. PERSONAL DATA AND PRIVACY
6.1. The processing of the Specialist's personal data is carried out in accordance with the Privacy Policy published on the Site.
6.2. The specialist understands and agrees that the information posted by him in the open profile/summary may be available to registered Companies of the Site.
6.3. The specialist has the right to delete his profile at any time or withdraw his consent to the processing of personal data by sending a corresponding request to the Site Support Service.
7. liability limitations
7.1. The site is provided on an "as is" basis. MEXUS.PRO does not guarantee the Specialist the obligation to receive job offers, successfully pass interviews or conclude a contract with the Companies.
7.2. MEXUS.PRO is not responsible for the unfair behavior of the Companies, the cancellation of vacancies or the failure of the Companies to fulfill their financial obligations during direct hiring.
8. CHANGES AND CONTACTS
8.1. MEXUS.PRO has the right to unilaterally make changes to these Terms by publishing their new edition on the Site.
8.2. For all questions regarding the use of the Site, the Specialist can contact the Support Service at the address: ____________________________.
8.3. All disputes and disagreements arising out of or in connection with these Terms shall be resolved through negotiations. In case of failure to reach an agreement, the dispute is subject to consideration in accordance with the current legislation at the location of the Platform operator.
TERMS OF USE OF THE WEBSITE FOR EMPLOYERS
If you wish to become a user of our website https://mexus.pro/ (hereinafter referred to as the "Website"), you must read and accept these Terms of Use of the Website for Employers (hereinafter referred to as the "Terms"). If you do not agree with these Terms, please do not use the Website.
1. GENERAL PROVISIONS
1.1. These Terms constitute a legally binding agreement between you — the employer (hereinafter referred to as the "Company") — and the owner of the Website — Name, EDRPOU code _________, registered at: _____________________ (hereinafter referred to as "mexus.pro").
1.2. The Terms govern the mutual rights and obligations of the Company and MEXUS.PRO regarding the use of the Website and services provided through it. Services refer to the features/service that the Company may purchase from MEXUS.PRO for placement on the Website.
1.3. The Terms are deemed fully accepted by the Company upon ticking the electronic checkbox "I have read and agree to the Terms of Use" during registration and/or while using the Website.
1.4. General understanding of terminology applied during the provision of MEXUS.PRO services:
"Website" — a platform serving as a technological service (marketplace) for independent search and interaction.
"Direct Connect / Self-Service" — a service providing the Company with the technological capability to independently post its vacancies (needs) on the Website, receive applications from Specialists, and exchange contact details with them via the Website Interface to conclude an agreement independently.
"Outstaffing" — a cooperation model where the Company selects a Specialist via the Website, while their actual engagement, administration, and monthly settlements are conducted on the basis of a separate direct B2B agreement executed between the Company and MEXUS.PRO.
"Platform Commission" — a one-time fee that the Company undertakes to pay to MEXUS.PRO for the fact of successful connection with a Specialist through the Website and/or execution of a direct employment or civil law contract with them.
2. DESCRIPTION OF THE WEBSITE
2.1. By means of the MEXUS.PRO Website, Companies have the ability to:
Post vacancies that will be available for viewing by all Users of the Website and receive job applications from Users of the Website;
View anonymized Specialist cards/profiles and unlock their direct contacts upon payment of the One-Time Platform Commission;
Enhance the Company profile on the Website by customizing the profile design in line with corporate branding, as well as placing the Company logo on the Website.
2.2. Website services are paid. Payment for services is made in accordance with Section 5 of these Terms.
2.3. The procedure for paying the One-Time Platform Commission for the "Direct Connect / Self-Service" service is governed by Section 5 of these Terms. The procedure for providing additional information and advertising services (if any) may be additionally governed by relevant tariffs published on the Website.
2.4. The procedure for providing services under the "Outstaffing" model (subcontracting, transfer of intellectual property economic rights, time tracking, and monthly settlements) is governed by a separate direct B2B contract between the Company and MEXUS.PRO. These Terms govern only the use of the Website interface for initial candidate selection.
3. COMPANY REGISTRATION PROCEDURE ON THE WEBSITE
3.1. To utilize all functional capabilities and services of the Website, the Company must register. Registration and use of services on the Website signify full and unconditional acceptance of these Terms.
3.2. Only business entities — legal entities or individual entrepreneurs — have the right to register as a Company. Private natural persons cannot be registered as a Company.
3.3. For successful registration on the Website, the Company must fill in the corresponding registration form — Company Profile. It is prohibited to state a non-existent company name, another company's name, an abbreviation, or a trademark without specifying the company name. Filled fields in the account registration form must not contradict one another. Furthermore, information specified in the fields must correspond to the information on the Company's website.
3.4. When registering on the Website, the Company shall not:
Use someone else's address, email, or an address it has no right to use;
Create multiple user accounts on the Website;
Use the Website for distributing promotional materials, except for recruitment advertisements (job postings);
Publish under the guise of vacancies advertisements for employment agency services, staffing agency services, partnership/cooperation offers, or educational courses, lectures, or workshops;
Publish offensive, knowingly false information, or information that may harm Website users or violate their rights;
Use the Website to recruit employees for work in the Russian Federation or temporarily occupied territories of Ukraine;
Post information that violates duly ratified international treaties of Ukraine, applicable legislation of Ukraine, as well as listings related to pyramid schemes, religious sects, occult services, and erotic services.
3.5. The following shall not be allowed for registration:
Companies utilizing "pyramid" schemes;
Companies offering adult/intimate services or services involving adult services, and/or whose operations are in any way connected to the production, broadcasting, or rebroadcasting of erotic or pornographic photo, video, or audio materials;
Religious sects and organizations providing astrological and occult services;
Companies offering earnings via webcams, chats, forums, etc., if their activities contradict the applicable laws of Ukraine;
Clubs, dating websites, and matrimonial agencies;
Companies offering earnings through writing term papers, theses, academic assignments, or providing consultations regarding their writing;
Companies that provided registration documents not conforming to Ukrainian law, or documents issued by unrecognized entities such as "LPR", "DPR", or other illegal forms of state structure, and/or issued by illegal bodies (officials) created in temporarily occupied territories of Ukraine;
Companies promoting war, national strife, violent change of the constitutional order or territorial integrity of Ukraine, including open support for illegal armed formations, Russian occupational forces, as well as militants and mercenaries in Ukraine.
3.6. MEXUS.PRO reserves the right to establish criteria under which specific categories of employers are admitted to operate with the Website (registration, job posting, resume database access, or any other interaction with the Website).
3.7. MEXUS.PRO monitors IP addresses of Companies operating on the Website and, in case of doubts regarding the use of the same IP address by other Companies on the Website, reserves the right to block the Company's ability to use the Website at its sole discretion without prior notice until such doubts are cleared.
3.8. Furthermore, if reasonable doubts arise regarding the lawfulness of the Company's actions, MEXUS.PRO reserves the right to request a copy of an extract from the Unified State Register of Legal Entities and a license (permit) for relevant business activities, and, at its sole reasonable discretion, remove, block, or modify Company information.
3.9. Employees of MEXUS.PRO adhere to principles of mutual respect and understanding. If Companies behave inappropriately towards MEXUS.PRO employees, MEXUS.PRO reserves the right to revoke access to posting vacancies, based on the assumption that the Company may behave inappropriately towards job applicants.
3.10. The Company is prohibited from scraping or collecting data from the Website's resume database and/or user contact details by any means for the purpose of transferring such information to third parties.
3.11. The Company is prohibited from using the resume database and/or user contact details for sending SMS messages unrelated to employment within the Company's enterprise/institution/organization.
3.12. In the event of a breach by the Company of its rights and obligations granted by MEXUS.PRO regarding the use of Website services, these Terms, or applicable Ukrainian legislation, MEXUS.PRO reserves the right to take all necessary measures to cease such breach, including fully or partially restricting the Company's access to Website functionalities. MEXUS.PRO reserves the right not to explain reasons for blocking a Company account.
3.13. Procedure for Leaving Reviews for Specialists:
3.13.1. The Company has the right to leave a review (rating and text comment) regarding the quality of a Specialist's work/services in their Website profile strictly after the actual completion of cooperation or execution of the relevant assignment/project.
3.13.2. The review must be objective, relate exclusively to the professional qualities of the Specialist, and contain no offensive language, profanity, or knowingly false statements.
3.13.3. MEXUS.PRO reserves the right to moderate or remove reviews that violate these Terms or applicable laws.
4. PROCEDURE FOR POSTING VACANCIES ON THE WEBSITE
4.1. To post a vacancy on the Website, the Company must fill out the relevant form on the Website, adhering to the guidelines below.
4.2. A vacancy advertisement must contain information about one position only. The Company cannot post multiple identical listings (listings sharing identical semantic content) simultaneously.
4.3. All form fields must be completed in accordance with their designated purpose, following rules of spelling, punctuation, and style without unnecessary abbreviations.
4.4. The "Title" field must state the position title: capitalized first letter, remaining lowercase. The position title must correspond to the actual role and contain no extraneous information.
4.5. The "Job Description" field must outline the offer. Job duties, candidate requirements, and working conditions must be explicitly stated. Description details must match the title.
4.6. Compensation amounts must be specified in Ukrainian Hryvnia (UAH) in accordance with applicable laws of Ukraine.
4.7. The "Region" field must indicate the location where the vacancy is open. Only one region may be selected per job posting. To post identical positions across multiple regions, separate vacancies must be created for each. For remote positions, any region may be indicated (the post will be visible to users from that region). If free accommodation is guaranteed or relocation is provided, the region may be set to any location. Job postings for territories temporarily outside Ukrainian control are strictly prohibited.
4.8. Job listings from companies engaged in exchange trading (e.g., FOREX) and offering related financial services are published exclusively on a paid basis.
4.9. Publication conditions for job postings from the following entity types must be pre-agreed with Website administration:
- Cryptocurrency business entities; Entities operating on cryptocurrency exchanges;
-Software developers for cryptocurrency exchanges or crypto entities;
- Information, educational, advertising, or analytical service providers for cryptocurrency markets.
4.10. All job postings will be publicly viewable by all Users and visitors of the Website, along with information about the posting Company. For anonymous recruitment, MEXUS.PRO offers an anonymous posting service that hides the Company name.
4.11. The following types of postings are inadmissible: work involving intimate/adult services, erotic/pornographic media production or broadcasting; modeling or dancer roles where grounds for rejection exist (corporate email required); hostessing/consummation roles encouraging venue spending; religious sects, occult/astrological services; webcam/chat earnings violating law, spam mailing roles; illegal online earnings; multi-level marketing (MLM), franchising, pyramid schemes, academic paper writing services; get-rich-quick investment schemes; partner company hiring offers; genetic material donation; political campaigning roles.
4.12. Additionally disallowed: offers outside the Company's scope of activity; pure advertising/collaboration without employment; premium-rate phone contact numbers or charging fees from job seekers for placement; remote work lacking contact details; paid volunteer positions (must use appropriate position naming); illegal listings; commercial postings under public/non-profit entity names; misleading, offensive, or harmful descriptions.
4.13. An employer who indicates any discriminatory restrictions in the vacancy announcement: (for example, by age for candidates, job offers only to women or only to men, imposes requirements that give preference to the female or male sex, representatives of a certain race, skin color, requirements regarding political, religious and other beliefs, membership in trade unions or other associations of citizens, ethnic and social origin, property status, place of residence, language or other characteristics), and also demands information about his personal life from the candidates, does it at his own peril and risk, and confirms that he is familiar with the requirements of the current legislation (in particular, with Clause 3 of Article 11 of the Law of Ukraine "On Employment of the Population" and Article 24-1 of the Law of Ukraine "On Advertising").
4.14. All vacancies posted on the Site are checked by the Site administration. MEXUS.PRO reserves the right to make changes and corrections to the title and text of the vacancy in order to increase the effectiveness of the posted vacancies, including the ability to remove unnecessary information from the title and text of the advertisement, leaving the essence of the offer. MEXUS.PRO may request the Company to describe in more detail in the text of the vacancy any sections, in particular, requirements for the candidate, duties in the position, working conditions, etc., as well as with a request to eliminate violations of these Terms or requirements of the legislation of Ukraine.
4.15. MEXUS.PRO reserves the right to reject postings violating these Terms or laws, or temporarily suspend job posting permissions in the event of material breaches.
4.16. MEXUS.PRO does not conduct background checks, qualification evaluations, or resume verifications of candidates. The Company conducts interviews and assessments independently.
4.17. MEXUS.PRO does not guarantee response volumes and holds no liability for the quality or performance timeliness of chosen Specialists.
5. PAYMENT PROCEDURE FOR WEBSITE SERVICES
5.1. MEXUS.PRO publishes its service catalog, descriptions, and pricing on the Website. The Company may order desired services through the Website interface. 5.1.1. Service fees for non-resident Companies (foreign legal entities) are set in foreign currency according to the international tariff effective on the order date.
5.1.2. The One-Time Platform Commission for "Direct Connect" is payable by the Company upon ordering the unlock of candidate contact details (or upon confirmation of hire/start of engagement, depending on the selected plan).
5.2. The Company shall pay for ordered services via wire transfer or Visa/MasterCard bank cards.
5.2.1. Authorized representatives of non-resident Companies may pay via Visa/MasterCard, converted from the base tariff.
5.3. Payment is deemed complete upon receipt of funds into the bank account of MEXUS.PRO.
5.4. If a Company account is blocked due to violations, payments for services already rendered are non-refundable.
6. INTELLECTUAL PROPERTY RIGHTS
6.1. All components of the Site and the Site as a whole belong to MEXUS.PRO and are protected by legislation in the field of intellectual property law. All rights reserved.
6.2. The Company confirms and agrees that all content and materials available on the Site are protected, including but not limited to copyright, trademarks, trade secrets. Reproduction, copying or distribution for commercial purposes of any materials or elements of the Site without the prior permission of MEXUS.PRO is strictly prohibited.
6.3. In addition, the Company grants MEXUS.PRO an indefinite non-exclusive right to publicly display the Company's marks for goods and services and/or logos by placing them on the Site (until the Company withdraws such consent).
7. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
7.1. The Company agrees that it uses the Site "as is". MEXUS.PRO does not guarantee that the operation of the Site will be continuous, error-free and free of malicious programs or other defects. If the Company is not satisfied with the terms and/or quality of the Site, it may stop using the Site or contact the Site Support Service: ________________________.
7.2. MEXUS.PRO is not responsible for any damages arising from the disruption of the Site, as a result of its use or the impossibility of use by the Company.
7.3. MEXUS.PRO is not responsible for the content of the materials published by the Company, for the facts of the Company's violation of Article 11 of the Law of Ukraine "On Employment of the Population", Article 6 and Article 24-1 of the Law of Ukraine "On Advertising", as well as for the facts of the Company's violation of the legislation of Ukraine. In case of receipt of claims from third parties related to such violations, the Company undertakes to settle the specified claims independently and at its own expense.
8. LIABILITY OF THE PARTIES
8.1. For non-fulfillment or improper fulfillment of their obligations under these Terms, the parties to these Terms are responsible in accordance with the current legislation of Ukraine.
8.2. The Company undertakes not to violate or attempt to violate the provisions of these Terms. If MEXUS.PRO determines at its discretion that the User has violated or attempted to violate these Terms, the Company's access to the Site may be terminated.
8.3. The Company agrees to indemnify and hold harmless MEXUS.PRO against third-party claims resulting from Company breac The Company agrees to release and secure MEXUS.PRO from any claims or demands by any third parties in connection with/or as a result of the Company's violation of these Terms, the current legislation of Ukraine or the rights of third parties.
9. AMENDMENTS AND MISCELLANEOUS
9.1. MEXUS.PRO has the right to make changes or additions to these Terms at any time without any special notice by posting a new version of the Terms on the Site. The new edition of the Terms enters into force from the moment of its posting on the Site, unless otherwise provided by the new edition of the Terms.
